Der Aufsichtsrat hat sich im Geschäftsjahr regelmäßig vom Vorstand über den Geschäftsverlauf und die Lage der Hays AG sowie ihrer Konzerngesellschaften unterrichten lassen. Er hat die Geschäftsführung während des Geschäftsjahres kontinuierlich überwacht.	In the fiscal year the Supervisory Board was regularly informed by the Management Board about the course of business and financial position of Hays AG as well as its affiliated companies. The Supervisory Board has continuously supervised the management during the fiscal year.
Zu diesem Zweck hat ihn der Vorstand in den Aufsichtsratssitzungen und darüber hinaus durch schriftliche und mündliche Berichte detailliert informiert. Außerdem ließ sich der Vorsitzende des Aufsichtsrats durch zusätzliche Gespräche mit dem Vorsitzenden des Vorstands regelmäßig über die aktuelle Entwicklung der Geschäftslage, wesentliche Fragen der Geschäftspolitik und wesentliche Geschäftsvorfälle berichten.	For this purpose the Management Board informed the Supervisory Board during the Supervisory Board meetings and, in addition, by written and verbal reports. Moreover, the chairman of the Supervisory Board was informed by additional conversations with the chairman of the Management Board regularly about the current development of the business situation, essential questions of the business policy and essential commercial incidents.
Sitzungen und Beschlüsse des Aufsichtsrats	Meetings and resolutions of the Supervisory Board
Im Geschäftsjahr fanden mehrere Management Meetings in Mannheim am Sitz der Gesellschaft statt. In diesen Sitzungen wurden - neben der oben erwähnten Unterrichtung und Information durch den Vorstand - Diskussionen und Fragen zur Entwicklung der Unternehmen geführt bzw. gestellt, und schließlich zu einzelnen Vorschlägen, Geschäften und Maßnahmen des Vorstands die nach Gesetz, Satzung oder Geschäftsordnung erforderlichen Beschlüsse gefasst bzw. Zustimmungen oder Genehmigungen erteilt.	Management meetings in the business year took place in Mannheim. Besides the information provided by the Management Board as mentioned above, several discussions and questions an the development of the company were held and asked in these meetings and, in the end, approvals for suggestions, legal transactions and actions of the Management Board that were necessary under the law, articles of association or internal rules were given.
Jahresabschluss und Lagebericht Geschäftsjahr 2015/16	Annual financial statements and financial report of the fiscal year 2015/16
Der Jahresabschluss sowie der Lagebericht der Hays AG sind von dem durch die Hauptversammlung gewählten und danach vom Aufsichtsrat beauftragten Abschlussprüfer geprüft worden. Die Prüfung führte im Ergebnis zu einem eingeschränkten Bestätigungsvermerk:	The annual financial as well as the financial report of Hays AG have been audited by the auditor appointed by the General Meeting and retained by the Supervisory Board afterwards. The result of the audit was an auditor's certificate which was qualified as follows:
"Entgegen § 285 Nr. 9 lit. a) HGB wurden im Anhang die Gesamtbezüge des Vorstands nicht angegeben."	"Contrary to Sec. 285 No. 9 lit. a) of the German Commercial Code (HGB) the sum of the total compensation of the Management Board has not been declared."
Der Jahresabschluss, der Lagebericht, die dazu erstellten Prüfungsberichte des Abschlussprüfers sowie der Vorschlag des Vorstands zur Verwendung des Bilanzgewinns wurden jedem Aufsichtsratsmitglied vorab zur Verfügung gestellt. Ein Vertreter des Abschlussprüfers nahm an der Bilanzsitzung des Aufsichtsrats teil und berichtete über die wesentlichen Ergebnisse der Prüfung.	The annual financial statements, the financial report, the reports of the auditor as well as the proposal of the Management Board for the use of the balance profits were made available to every Supervisory Board member in advance. A representative of the auditor participated in the accounts review meeting of the Supervisory Board and reported an the most important results of the audit.
Der Aufsichtsrat hat den Jahresabschluss, den Lagebericht sowie den Vorschlag des Vorstands über die Verwendung des Bilanzgewinns geprüft. Er hat sich dem Ergebnis der Prüfung durch den Abschlussprüfer angeschlossen und als Ergebnis seiner eigenen Prüfung festgestellt, dass keine weiteren Einwendungen zu erheben sind. Der Aufsichtsrat hat den Jahresabschluss in seiner vorgenannten Sitzung gebilligt. Der Jahresabschluss ist damit festgestellt. Der Aufsichtsrat hat sich des Weiteren dem Gewinnverwendungsvorschlag des Vorstands angeschlossen.	The Supervisory Board reviewed the annual financial statements, the financial report as well as the proposal of the Management Board re. the use of the balance profits. The Supervisory Board concords with the auditor's conclusions from the audit and raises no additional objections. The Supervisory Board has approved the annual financial statements in its above referenced meeting. The annual financial statements are thus ratified. The Supervisory Board concords with the proposal of the Management Board for the use of the profits.
Abhängigkeitsbericht	Dependency Report
Der vom Vorstand erstellte Bericht über die Beziehungen zu verbundenen Unternehmen ("Abhängigkeitsbericht") wurde ebenfalls vom Abschlussprüfer geprüft und mit folgendem Vermerk versehen:	The report about the relations with affiliated companies ("Dependency Report") compiled by the Management Board was also audited by the annual auditor with the following result:

Der Aufsichtsrat hat das Ergebnis der Prüfung durch den Abschlussprüfer zur Kenntnis genommen und stimmt diesem nach eigenständiger Prüfung des Abhängigkeitsberichts zu. Er hat gegen die im Bericht enthaltene Erklärung des Vorstands über die Beziehungen zu verbundenen Unternehmen keine Einwendungen.	The Supervisory Board has taken note of the result of the audit by the auditors and agrees with the auditors' conclusions after independent assessment of the dependence report. The Supervisory Board has no objections against the Management Board statements contained in the report about the relations with affiliated companies.

Der Unterzeichner Alistair Cox ist der Aufsichtsratsvorsitzende der Hays AG. Er kann an der Aufsichtsratssitzung vom 19. Oktober 2016 wegen persönlicher Verhinderung nicht teilnehmen. Das Auf- sichtsratsmitglied Nick Cox wird als stellvertretender Aufsichtsratsvorsitzender die Aufsichtsratssitzung leiten. Die Ta- gesordnung der Aufsichtsratssitzung ist in der Anlage beigefügt. Der Unterzeich- ner stimmt einer Abstimmung über die Punkte der Tagesordnung in der genannten Sitzung zu und gibt zu den einzelnen zur Abstimmung stehenden Tagesordnungspunkten seine Stimme wie folgt ab:	The Undersigned Alistair Cox is the Chairman of the Supervisory Board of the Hays AG. Due to personal circumstances he is not able to attend the Supervisory Board Meeting of 19 th October 2016.
