Sub: Disclosure under Regulation 29 (1) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011

• The Company had informed BSE on July 11, 2020, of the sad demise on July 10, 2020, of 1. Mr. Brahm Vasudeva, the Promoter of Hawkins Cookers Limited ("Company").
• $\overline{2}$ . The late Mr. Brahm Vasudeva was, at the time of his sad demise, holding 18,28,432 equity shares ("Promoter Shares") in the Company. Mrs. Susan M. Vasudeva, wife of the late Mr. Brahm Vasudeva is the nominee on the demat accounts holding the said Promoter Shares.
• On August 4, 2021, the Promoter Shares were transmitted from the late Mr. Brahm Vasudeva's $3.$ demat account nos. IN30260310074378 and 1305060000007075 to the demat account no. IN30135620935347 of Mrs. Susan M. Vasudeva, the nominee of the Promoter Shares – as mandated by the Depository Rules that require the transmission to be done only to the nominee's demat account, and not to the legal heirs, where a nomination has been done for a demat account - for onward transmission of the said shares to the demat accounts of respective beneficiaries/legal heirs. Subsequently, out of the 18,28,432 equity shares that were so received in the demat account of Mrs. Susan M. Vasudeva, 4,57,108 equity shares of the Company were transmitted on the same day, namely, August 4, 2021, from Mrs. Susan M. Vasudeva to the demat account no. IN30154933869750 of Gitanjali Vasudeva Nevatia, one of the beneficiary/legal heirs of the said shares.
• In view of the above, please find enclosed the disclosure in terms of Regulation 29 (1) of the 4. SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, in the prescribed format. I request you to kindly take the same on record.
