Sub: Disclosure under Regulation 29 (1) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011

With reference to the captioned subject, this is to further inform you that:

• $1.$ The Company had informed BSE on July 11, 2020, of the sad demise on July 10, 2020, of my husband, Mr. Brahm Vasudeva, the Promoter of Hawkins Cookers Limited ("Company").
• $2.$ The late Mr. Brahm Vasudeva was, at the time of his demise, holding 18,28,432 equity shares ("Promoter Shares") in the Company. I, Susan M. Vasudeva, am the nominee on the demat accounts of the late Mr. Brahm Vasudeva holding the Promoter Shares.
• $3.$ The legal heirs/beneficiaries of the late Mr. Brahm Vasudeva are listed herein below:

• It may be noted that out of the aforesaid legal heirs/beneficiaries of the late 4. Mr. Brahm Vasudeva, Susan M. Vasudeva and Nikhil Vasudeva have relinquished all their rights and entitlements in the Promoter Shares.
• This is to inform you that, upon the demise of Mr. Brahm Vasudeva, the Promoter Shares have 5. been transmitted from the demat account nos. IN30260310074378 and 1305060000007075 of the late Mr. Brahm Vasudeva to the demat account no. IN30135620935347 of Susan M. Vasudeva, in my capacity as the nominee of the Promoter Shares – as mandated by the Depository Rules that require the transmission to be done only to the nominee's demat

account, and not to the legal heirs, where a nomination has been done on a demat account - for onward transmission of the said shares to the demat accounts of the beneficiaries/legal heirs. Accordingly the Promoter Shares have been transmitted on the same day, namely, August 4, 2021, in equal share/proportion in favour of the remaining legal heirs/beneficiaries, namely Anuradha S. Khandelwal, Gitanjali Vasudeva Nevatia, Gayatri Sudeep Yadav and Neil Vasudeva as detailed in the table below:
