ALDERAN RESOURCES LIMITED - NOTIFICATION PURSUANT TO PARAGRAPH 708A(5)(e) OF THE CORPORATIONS ACT 2001

This notice is given by Alderan Resources Limited (ACN 165 079 201) (ASX: AL8) ( Alderan or the Company ) under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Act ). The Company advises that, as detailed in the Appendix 2A announcement dated today, 13 November 2023, it has issued:

• 291,666,662 fully paid ordinary shares and 145,833,331 quoted options (AL8OA) in relation to the capital raising, as announced on 20 September 2023 and as approved by shareholders on 8 November 2023;

• 150,000,000 fully paid ordinary shares (50% escrowed for six months) and 100,000,000 quoted options (AL8OA) in relation to the initial consideration for the acquisition of Parabolic Lithium Pty Ltd, as announced on 20 September 2023 and as approved by shareholders on 8 November 2023;

• 17,500,000 fully paid ordinary shares and 58,750,000 quoted options (AL8OA) to the Lead Manager of the capital raising, as announced on 20 September 2023 and as approved by shareholders on 8 November 2023; and

• 31,000,000 fully paid ordinary shares and 15,500,000 quoted options (AL8OA) to the Directors of the Company in lieu of Director fees owed, as announced on 20 September 2023 and as approved by shareholders on 8 November 2023.

Together referred to as the Securities .

The Company gives notice under Section 708A(5)(e) that:

• a) the Securities were issued without disclosure to the investors under Part 6D.2 of the Corporations Act;

• b) as a disclosing entity the Company is subject to regular reporting and disclosure obligations;

• c) as at the date of this notice the Company has complied with:

  • i. the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

  • ii. section 674 of the Corporations Act; and

• d) as at the date of this notice there is no ‘excluded information’ required to be disclosed under section 708A(6)(e) of the Corporations Act.
