Item 5.02 Departure of Directors or Certain Officers; Election of Directors: Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On November 10, 2015, the Board of Directors of Haverty Furniture Companies, Inc. approved a resolution related to the Haverty Furniture Companies, Inc. Supplemental Executive Retirement Plan (the "SERP"). The resolution authorized amending the SERP to cease (or "freeze") benefit accruals after December 31, 2015. Each SERP participant's benefit will be calculated under the terms of the SERP as of December 31, 2015, and no participant will be credited with compensation, service, or other accruals after December 31, 2015.
