Dear Sir.

In pursuance of Regulation 30(2) of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulation. 2011. we enclose the details in respect of shareholding of the Promoters, Promoter Group and PAC with them in Hathway Cable & Datacom Limited (HCDL -Target Company), as on 31 SI March, 2019 in the prescribed format.

During the current year. Jio Content Holdings Private Limited, Jio Internet Distribution Holdings Private Limited, and Jio Cable and Broadband Holdings Private Limited (hereinafter collectively referred to as Acquirers) acquired sole control of Hathway Cable & Datacom Limited (Target Company) pursuant to the following acquisitions (Acquisitions): (a) acquisition of 90,88.1 0,000 equity shares of the Target Company under a preferential issue, representing 51.34% of the post -preferential issue paid-up share capital in the Target Company (Preferential Issue), and (b) acquisition of further 20.61 % shares in Target Company under the open ofTer made consequent to the acquisition made under the Preferential Issue. The parties i.e. the Acquirers and the members of the existing promoter group of the Target Company entered into a shareholders agreement. wherein it was agreed and acknowledged that the Acquirers, post the Acquisitions, will be in sole control of the Target Company and accordingly will be classified as promoters of the Target Company and the existing promoters will be classified as members of the promoter group of the Target Company. Accordingly, in this disclosure, Mr. Akshay Raheja, Mr. Viren Raheja. Hathway Investments Private Limited and Spur Cable & Datacom Private Limited, who were promoters/members of the promoter group prior to the Acquisitions, have been classified as members of the promoter group of the Target Company.
