Sub: Acquisition of balance equity shares of Hathway Digital Saharanpur Cable & Datacom Limited, Subsidiary Company (“Hathway Digital Saharanpur”)

Ref: Disclosure pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligation and Disclosure Requirements) Regulations, 2015

We would like to inform that the Company has acquired today i.e. December 15,2020, balance 49% i.e. 9,800 equity shares of Hathway Digital Saharanpur, Subsidiary of the Company for a cash consideration of Rs. 25 Lakhs (Rupees Twenty-Five Lakhs only) and pursuant to said acquisition Hathway Digital Saharanpur has become a Wholly Owned Subsidiary of the Company.

Hathway Digital Saharanpur was incorporated in India on January 16, 2008. Hathway Digital Saharanpur is in Cable television business. Hathway Digital Saharanpur has been non-operating for last three financial year and did not had any operating revenue. Hathway Digital Saharanpur incurred loss of Rs. 0.64 Lakh, Rs. 6.79 Lakh and Rs. 1.04 Lakh in last three financial year i.e. FY 2020, 2019 and 2018, respectively.

The aforesaid acquisition of equity shares is a strategic business investment for ease of business operations which will further enable the Hathway group to widen the cable television business segment across the geographical areas and serving customer with an enriching experience.

No governmental or regulatory approvals were required for the said investment. The investment does not fall within related party transactions and none of Hathway’s promoter / promoter group / group companies have any interest in the transaction.
