With reference to the captioned subject, pursuant to Regulation 30 read with Part A of Schedule III of SEBI (Listing Obligations and Disclosure Requirements), Regulations, 2015 (SEBI (LODR)), we would like to inform you that based on the recommendation of Nomination and Remuneration Committee, the Board of Directors of the Company at its meeting held today i.e. Sunday, 4[th] August, 2019 have considered and approved the appointment of following Directors to the Board of Directors of the Company:

A. Shri. Sridhar Gorthi (DIN: 00035824)

B. Shri. Sasha Mirchandani (DIN: 01179921)

C. Shri. A. Siddharth (DIN: 00016278)

These Directors are appointed as Additional Directors designated as Independent Directors of the Company for a period of five consecutive years with effect from August 5, 2019 to hold office up to August 4, 2024.

Shri. Sridhar Gorthi, Shri. Sasha Mirchandani and Shri. A. Siddharth are neither related to each other nor related to any other Directors of the Company.

Further, in accordance with the circular dated June 20, 2018, issued by the Stock Exchanges, we hereby confirm that Shri. Sridhar Gorthi, Shri. Sasha Mirchandani, Shri. A. Siddharth are not debarred from holding the office of Director by virtue of any Securities and Exchange Board of India (SEBI) order or any other such authority.

Brief Profile of Directors

• A. Shri. Sridhar Gorthi, aged 47 years, is a B.A. L.L.B (Hons). He is involved in legal advisory services to various multinational and domestic corporations on restructuring, debt finance, joint ventures, acquisitions and mergers etc.

• B. Shri. Sasha Mirchandani, aged 47 years, hold a degree of Business Administration from Strayer University and MMDP program at IIM, Ahmedabad. He has varied experience in venture capital, consumer electronics and outsourcing etc.

• C. Shri A. Siddharth, aged 65 years, is a Commerce and Law graduate from the Mumbai University and a fellow member of the Institute of Chartered Accountant of India. Shri. A. Siddharth was associated with Deloitte, Haskins & Sells for over 4 decades and served as Partner for 33 years. He has vast and varied experience in the field of Audit of domestic as well as multinational companies in sectors such as Manufacturing, Hospitality, Technology and Non-Banking Financial Services.
