HARVEST EXECUTES MOU WITH ANNEX DIGITAL

Harvest Technology Group Limited (“ the Company ” or “ Harvest ”) ( ASX:HTG ) is pleased to announce that its wholly owned subsidiary, Harvest Technology Pty Ltd, has entered into a Memorandum of Understanding ( MoU ) with Annex Digital Pty Ltd (“ Annex Digital ”), a Canberra-based registered government supplier specialising in the design and engineering of digital products and services.

Overview of the Collaboration

The MoU establishes a non-exclusive strategic collaboration between Harvest and Annex Digital to jointly pursue and deliver government and defence tenders where Harvest’s secure live data, audio, and video streaming technologies can be integrated into Annex Digital’s solutions.

Under the MoU:

• Annex Digital will act as the lead tenderer and primary point of contact with the client or contracting agency;

• Harvest will provide technical inputs, product expertise, and secure streaming solutions for specific opportunities identified by Annex Digital; and

• Where a tender is successful, the parties will enter into a Statement of Work or subcontract defining the detailed scope, deliverables, commercial terms, and intellectual-property arrangements for the relevant project.

Purpose and Strategic Rationale

The collaboration leverages the complementary capabilities of both organisations, being Harvest’s proprietary remote communication technologies and Annex Digital’s government engagement and digital delivery expertise, to enhance competitiveness in Australian government and defence procurement markets.

Harvest anticipates that the partnership will expand access to major government contracts requiring secure, reliable video and data transmission, particularly in the defence, infrastructure, and national security sectors.

Key Terms of the MoU

• The MoU is non-exclusive and remains in effect for two years from the execution date, unless terminated earlier by either party on thirty (30) days’ written notice;

• Each party retains ownership of its pre-existing and newly developed intellectual property; and

• • All expenses incurred in relation to tender preparation and marketing will be borne individually unless otherwise agreed.
