Item 2.02. Results of Operations and Financial Condition.

On August 1, 2013, Harvard Bioscience, Inc. (the "Company") issued a press release announcing financial results for the three and six months ended June 30, 2013. The press release is furnished as Exhibit 99.1 and incorporated herein by reference. The information in Item 2.02 of this Current Report on Form 8-K and Exhibit 99.1 attached hereto shall not be deemed "filed" for purposes of Section 18 of the Securities Exchange Act of 1934 (the "Exchange Act") or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933 or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.

Item 8.01. Other Events.

On July 31, 2013, the Company issued a press release announcing that its wholly-owned subsidiary, Harvard Apparatus Regenerative Technology, Inc., filed a Form 10 Registration Statement (“Form 10”) with the U.S. Securities and Exchange Commission. The Form 10 was filed in connection with the Company’s intended spin-off of its regenerative medicine device business. The press release is furnished as Exhibit 99.2 and incorporated herein by reference.
