Notice of Second Court Hearing

Notice of Court hearing to approve scheme of arrangement under section 411 of the Corporations Act 2001 (Cth)

Hartshead Resources NL (ACN 150 624 169) (ASX: HHR) (Hartshead Resources) provides this update in relation to the proposed acquisition of 100% of the shares in Hartshead Resources by ACAM GP Limited as general partner of ACAM LP (ACAM), by way of a scheme of arrangement (Scheme) for $0.014 for each fully paid ordinary share and $0.0007 for each partly paid ordinary share.

Subject to Hartshead Resources shareholders approving the Scheme by the requisite majorities at the Scheme meeting to be held at 11.00am (AWST) on 8 June 2026, the Court hearing to approve the Scheme (Second Court Hearing) will take place at 10.00am (AWST) on 11 June 2026 in the Supreme Court of Western Australia at the David Malcolm Justice Centre, 28 Barrack Street, Perth, Western Australia.¹

Hartshead Resources shareholders have the right to appear and be heard at the Second Court Hearing and may oppose the approval of the Scheme at the Second Court Hearing. If you wish to oppose approval of the Scheme by the Court at the Second Court Hearing you must file with the Court, and serve on Hartshead Resources, a notice of appearance in the prescribed form, together with any affidavit on which you wish to rely at the hearing. The notice of appearance and affidavit must be served on Hartshead Resources at its address for service at least one day before the Second Court Hearing.

The address for service of Hartshead Resources is Blackwall Legal LLP, Level 26, 140 St Georges Terrace, Perth, Western Australia.

¹ The Second Court Hearing may not take place at this time and date if all of the conditions precedent to the Scheme (other than approval of the Scheme at the Second Court Hearing) have not been satisfied or waived (as applicable) before 8.00am (AWST) on 11 June 2026. Full details of the conditions precedent to the Scheme are set out in the Scheme Implementation Deed dated 22 December 2025 between Hartshead Resources and ACAM.
