Notice pursuant to section 708A(5)(e) of Corporations Act 2001 (Cth)

Notice is given pursuant to section 708A(5)(e) of the Corporations Act 2001 (Cth) (Act) that, on 2 September 2008, The Swish Group Limited (Company) issued a total of 77,604,187 fully paid ordinary shares to sophisticated investors as follows:

• 29,875,000 shares were issued to sophisticated investors for a cash consideration at $0.008 per share.

• 20,000,000 fully paid ordinary shares were issued to a Director for a cash consideration at $0.008 per share.

• 13,020,937 fully paid ordinary shares were issued to sophisticated investors on conversion of convertible notes at $0.0064 per share.

• 6,250,000 fully paid ordinary shares were issued to sophisticated investors as consideration for a facility fee at $0.008 per share.

• 8,458,250 fully paid ordinary shares were issued to the vendor of a previously acquired business at $0.008 per share.

The shares were issued in accordance with resolutions approved by shareholders at a general meeting of the Company held on 14 August 2008.

Each of the investors are “sophisticated investors” within the meaning of that term given in the Act and accordingly, the Company was exempted from compliance with disclosure requirements to the investors pursuant to section 708(8) of the Act.

As at the date of this notice:

1. the Company has complied with the provisions of Chapter 2M of the Act as they apply to the Company; and

2. the Company has complied with section 674 of the Act; and

3. there is no “excluded information” within the meaning of that term given in the Act which has not been disclosed to the market.
