ASX ANNOUNCEMENT – FOR IMMEDIATE RELEASE – 3 MARCH 2009

SWISH GROUP ACQUIRES SALES AND MARKETING GROUP

Swish Group is delighted to announce the acquisition of sales and marketing companies VBS Australia and WeConnect which operate field sales and call centre businesses in Victoria, New South Wales and Queensland. The Group provides sales and marketing services to companies including Vodafone, Country Energy, Jackgreen and the Plan organisation with revenues of approximately $6 million and EBITDA of approximately $400,000.

The businesses will compliment the Company’s existing sales and marketing activities and significantly increase the Company’s revenues and earnings. Swish Group management have already identified significant cost savings that will be able to be extracted from the combined entities which will enable the Company to increase earnings from this division of the Company’s business.

The acquisition will also enable the Company to more rapidly develop its planned direct to consumer internet music and entertainment TV service. The service which will be marketed and sold direct to consumers will draw on the product and service offerings of the Company’s Swish Amphead digital music and Swish Internet TV businesses. The Company will now be able to offer consumers a service that includes access to an extensive range of online digital music and video content.

The acquisition price for the VBS Australia and WeConnect Group will be based on the performance of the business over 3 years with an initial payment of 12 million Swish Group fully paid ordinary shares and a further 3 tranches of shares and cash to be issued on the completion of the 2010, 2011 and 2012 financial years.

Gary Mackenzie, CEO of Swish Torque and Swish Amphead, said “I am excited about the acquisition and believe that it will give the Company the ability to better combine and sell the various music and entertainment content assets of the Swish Group and to roll out its own on-line entertainment service to Australian consumers”.
