THE SWISH GROUP LIMITED ("SWISH GROUP") ENTERS INTO LOCATION TELEVISION AGREEMENT WITH WAN TV ("WAN TV")

The Directors of Swish Group are delighted to announce that they have today entered into an Agreement with WAN TV to commercialise its location based audio visual programming and advertising network.

The Companies have established a new entity, InformTV Pty Ltd ("InformTV"), to be owned 51% by Swish Group and 49% by the shareholders of WAN TV. The Company has been established to enter into agreements with various retailers, financial institutions and other operators of venues who wish to establish audio visual entertainment and advertising systems within their venues.

The Agreement provides for Swish Group to contribute its technical expertise in the provision of managed digital audio visual display systems as well as provide management, administrative, financial and legal experience, and infrastructure, and for WAN TV to contribute its technology and experience in the area of centrally managed audio visual systems.

The shareholders of WAN TV will receive shares in Swish Group on the achievement by InformTV of certain financial benchmarks. These shares will be escrowed for 12 months (50%) and 24 months (50%) from the date of their issue.

Swish Group has three principal divisions: digital media (incorporating its television and cinema advertising production division and its feature film and television production division), technology (encoding, storage, transmission and delivery of digital media) and graphic design.

WAN TV has experience in the development of centrally managed audio visual networks capable of delivering entertainment, programming and advertising to various locations. WAN TV, which was established in 2001, was founded by Michael Colguhoun and Henry Sinn, who have been assisted by a number of senior advertising and media industry executives.

WAN TV Managing Director Michael Colquhoun said "joining forces with Swish Group will significantly increase our ability to role out our audio visual system into a range of retailers, financial institutions and other operators of large networks".
