PDMR Shareholding

Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Persons in accordance with Disclosure Rules 3.1.4R(1)(a). 

The Company has been notified that, on 24th May 2016, Mr Ian Hunter, a PDMR, exercised an option to purchase 801 ordinary shares of 0.4p each in the Company ("Ordinary Shares") under the Company's All Employee Save As You Earn ("SAYE") scheme.  The exercise price was £4.77 per Ordinary Share and the options were originally granted pursuant to the Hargreaves Lansdown 2011 SAYE scheme.

Following this transaction, the beneficial shareholding of Ian Hunter (including his connected persons) is 571,422 ordinary shares representing 0.12% of the ordinary shares in issue.  The exercise is part of a larger employee exercise which took place on 1st May 2016. 

The Ordinary Shares issued in respect of this exercise of option have been satisfied by way of transfer of Ordinary Shares from the Company's Employee Benefit Trust.

Hargreaves Lansdown (Nominees) Limited is the registered shareholder as nominee for the above PDMRs.
