Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Persons  

Hargreaves Lansdown plc has received notification today from David Davies, a PDMR, that on 23rd June 2015 he exercised the following share options:

The market value at the date of exercise was £12.485.  No new shares have been issued as a result of the exercise of the share options.

Following the exercise of the share options, Mr Davies sold a total of 250,000 ordinary shares of 0.4 pence in the Company ("ordinary shares") at a price of £12.208 per share.  This sale was made partly to meet taxation arising on exercise of the share options and partly to fund a property purchase.  The number of ordinary shares sold represented 0.042% of the ordinary shares in issue.  

Following these transactions, the beneficial shareholding of Mr Davies (including his connected persons) is 19,044 ordinary shares representing 0.004% of the ordinary shares in issue.  

Hargreaves Lansdown (Nominees) Limited is the registered shareholder as nominee for the above PDMR.
