Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Persons  

Hargreaves Lansdown plc (the "Company") has received notification today from Nigel Bence, a PDMR, that on 4th December 2014, he exercised the following share options:

The market value at the date of exercise was £10.01.  No new shares have been issued as a result of the exercise of the share options.

As a result of the transaction Mr Bence has increased his (including his connected persons) shareholding in Hargreaves Lansdown from 202,457 shares to a total 457,985 shares (0.10% of the ordinary shares in issue).

Following this exercise, Mr Bence retains 168,419 unexercised share options in a number of schemes.

Hargreaves Lansdown (Nominees) Limited is the registered shareholder as nominee for the above PDMR.
