Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Persons  

Hargreaves Lansdown plc has received notification today from Tracey Taylor, a Director, that on 3rd July 2014, she and her husband, Mr J Taylor (a connected person), sold a total of 70,682 ordinary shares of 0.4 pence in the Company ("ordinary shares") at a price of £12.72 per share.  On 4th July 2014, she and her husband also sold a further 32,687 ordinary shares at a price of £12.75. The total number of ordinary shares sold represented 0.022% of the ordinary shares in issue.

Following this transaction, the beneficial shareholding of Tracey Taylor (including her connected persons) is 660,000 ordinary shares representing 0.14% of the ordinary shares in issue.  

The Company has also received notification from Dharmash Mistry, a Director, that on 4th July 2014, he sold a total of 5,308 ordinary shares of 0.4 pence in the Company ("ordinary shares") at a price of £12.67 per share. The number of ordinary shares sold represented 0.0011% of the ordinary shares in issue.

Following this transaction, the beneficial shareholding of Dharmash Mistry (including his connected persons) is 0 ordinary shares representing 0% of the ordinary shares in issue.  

Hargreaves Lansdown (Nominees) Limited is the registered shareholder as nominee for the above Director. The transactions took place in Bristol on 3rd and 4th July 2014.
