Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Persons in accordance with Disclosure Rules 3.1.4R(1)(a).

Approved share option exercise

Hargreaves Lansdown plc (the "Company") has received notification today from David Davies, a PDMR, that on 30th June 2014, he exercised the option to purchase ordinary shares of 0.4p each in the Company ("Ordinary Shares") under the Company's Approved Executive Share Option Plan ("Approved scheme").

The market value at the date of exercise was £12.39. The Ordinary Shares issued in respect of this exercise of options have been satisfied by way of transfer of Ordinary Shares from the Company's Employee Benefit Trust.

The Approved scheme exercise above is part of a larger employee exercise which has taken place from 24th March 2014.  A total of 43 employees (including directors and PDMRs) were granted options under the scheme.

Following this transaction, the beneficial shareholding of Mr Davies (including his connected persons) is 19,044 ordinary shares, representing 0.004% of the ordinary shares in issue.  

Hargreaves Lansdown (Nominees) Limited is the registered shareholder as nominee for the above Directors and PDMRs.
