Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Persons  

Hargreaves Lansdown plc has received notification today from Ian Gorham, a Director, that on 21 May 2014, his wife Mrs H Gorham, a Connected Person, sold a total of 110,000 ordinary shares of 0.4 pence in the Company ("ordinary shares") at a price of £11.66 per share. The number of ordinary shares sold represented 0.023% of the ordinary shares in issue.

Following this transaction, the beneficial shareholding of Ian Gorham (including his connected persons) is 332,628 ordinary shares representing 0.07% of the ordinary shares in issue.  

Hargreaves Lansdown (Nominees) Limited is the registered shareholder as nominee for the above PDMR. The transaction took place in Bristol on 21 May 2014.
