Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Persons  

Hargreaves Lansdown plc has received notification today from Nigel Bence, a PDMR, that on 23rd December 2013, his wife Mrs C Bence sold a total of 40,000 ordinary shares of 0.4 pence in the Company ("ordinary shares") at a price of £13.25 per share. The number of ordinary shares sold represented 0.0084% of the ordinary shares in issue.

Following this transaction, the beneficial shareholding of Nigel Bence (including his connected persons) is 189,118 ordinary shares representing 0.04% of the ordinary shares in issue.
