Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Persons  

Hargreaves Lansdown plc has received notification today from Peter Hargreaves, a Director, that on 18th December 2013, he made a disposal of 77,928 ordinary shares of 0.4 pence in the Company ("ordinary shares") by way of a gift to charity. This transaction represented 0.02% of the ordinary shares in issue. The market value of the shares on the date of the disposal was £12.83 per share.

Following this transaction, the beneficial shareholding of Peter Hargreaves (including his connected persons) is 152,639,678 ordinary shares representing 32.18% of the ordinary shares in issue.
