Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Persons  

Hargreaves Lansdown plc has received notification today from Nick Marson, a PDMR, that on 10th December 2013, his wife Mrs J Marson, a Connected Person, sold a total of 10,000 ordinary shares of 0.4 pence in the Company ("ordinary shares") at a price of £12.52 per share. The number of ordinary shares sold represented 0.0021% of the ordinary shares in issue.

Following this transaction, the beneficial shareholding of Nick Marson (including his connected persons) is 619,821 ordinary shares representing 0.13% of the ordinary shares in issue.  

Hargreaves Lansdown (Nominees) Limited is the registered shareholder as nominee for the above PDMR. The transaction took place in Bristol on 10th December 2013.
