Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Persons  

Hargreaves Lansdown plc (the "Company") has received notification today from Ian Gorham, a Director, that on 16th September 2013, he exercised the following share options:

The market value at the date of exercise was £10.19.  No new shares have been issued as a result of the exercise of the share options.

Following the exercise of the share options, Mr Gorham sold a total of 425,000 ordinary shares of 0.4 pence in the Company ("ordinary shares") at a price of £10.19 per share.  Part of this sale was made to meet taxation arising on exercise of the share options and partly to meet the purchase costs of increasing his shareholding in the company.  The number of ordinary shares sold represented 0.09% of the ordinary shares in issue.  

As a result of the transaction Mr Gorham retains an additional 75,000 ordinary shares, thus increasing his (including his connected persons) shareholding in Hargreaves Lansdown from 282,628 shares to a total 357,628 shares (0.075% of the ordinary shares in issue).

Following this exercise, Mr Gorham retains 864,109 unexercised share options in a number of schemes.

Hargreaves Lansdown (Nominees) Limited is the registered shareholder as nominee for the above PDMR.
