DIRECTOR / PDMR Shareholding 

8th March 2013

Notification of Transactions of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Persons 

The Company announces that it has been today advised that, on 8th March 2013, the following PDMR of the Company exercised the following awards under the Company's Joint Share Ownership Plan ("JSOP").

The JSOP was approved at the Annual General Meeting on 27th November 2009 and on 9th December 2009 Mr Davies acquired an interest in ordinary shares of 0.4p each in the Company ("Ordinary Shares"), which he holds jointly with an Employee Benefit Trust.

The interests in the Ordinary Shares were acquired under a joint ownership arrangement. Mr Davies, together with the Trustee of an Employee Benefit Trust, has acquired the joint beneficial ownership of the Ordinary Shares. Mr Davies purchased the right to the growth in value of the Ordinary Shares from the date of the award, and the Trustee acquired the current value of the Ordinary Shares as at the award date.

At the award date, 9th December 2009, each share had a market value of 268.8p.  On 8th March 2013 the shares were sold at 880.50p, and Mr Davies received an amount of 613 pence per share in respect of the sale of their interest in the shares.

Hargreaves Lansdown (Nominees) Limited is the registered shareholder as nominee for the above PDMR/directors.
