Appointment of Non-Executive Director

07 March 2018

Premier is pleased to announce that at the Company's AGM on 16 May 2019 the Directors will propose the election of Barbara Jeremiah to the Board as an independent non-executive director.

Barbara Jeremiah spent her executive career with the aluminium producer Alcoa Inc (now demerged into Alcoa Inc. and Arconic Inc.) where she worked in the legal department before becoming Executive Vice President, Corporate Development, with responsibility for Alcoa's substantial M&A and post-merger integration activity.

Since leaving Alcoa in 2009 she has held a number of non-executive directorships. From 2011 to 2015 she was a director (and latterly chairman) of Boart Longyear Ltd, and currently she is a director of The Weir Group plc (since 2017), Aggreko plc (since 2017) where she chairs the Remuneration Committee, Russel Metals Inc (since 2016) and Allegheny Technologies Inc (since 2008 and her final term as non-executive director ends May, 2019).

The Directors intend that Barbara will succeed Jane Hinkley as Chair of the Company's remuneration committee following a short transition period that will enable Barbara to lead the process of preparing the remuneration policy to be put to shareholders at the 2020 Annual General Meeting.  Jane intends to stand for re-election as a Director of the Company at the 2019 Annual General Meeting and, subject to re-election, will remain a Director and a member of the Company's remuneration committee to ensure a smooth handover of responsibilities. It is Jane's intention to stand down as a Director at the end of 2019.

Commenting on her appointment Roy Franklin, Chairman of Premier Oil, said:

"I am delighted that we are recommending Barbara for election at the AGM. She brings with her a wealth of strategic and commercial experience obtained in the strongly cyclical environment of the resources sector, which will enable her, if elected, to make a valuable contribution to our Board and as Chair of our Remuneration Committee."
