GRANT OF WAIVER FROM STRICT COMPLIANCE WITH RULE 14.41(A) OF THE LISTING RULES

Reference is made to the announcement issued by Far East Consortium International Limited (the “ Company ”) dated 6 December 2021 (the “ Announcement ”) in relation to the Disposal. Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings as those defined in the Announcement.

Pursuant to Rule 14.41(a) of the Listing Rules, the Company is required to despatch a circular in relation to the Disposal (the “ Circular ”) to the Shareholders within 15 business days (as defined under the Listing Rules) after publication of the Announcement, which shall be on or before 28 December 2021. As additional time will be required to collate and finalise the information to be included in the Circular, including but not limited to, certain financial information of the Group, the Company has applied to the Stock Exchange for a waiver from strict compliance with Rule 14.41(a) of the Listing Rules.

On 8 December 2021, the Stock Exchange has agreed to grant the waiver to the Company if the Company will despatch the Circular on or before 28 January 2022.

As at the date of this announcement, the Board comprises five executive directors, namely Tan Sri Dato’ David CHIU, Mr. Cheong Thard HOONG, Mr. Dennis CHIU, Mr. Craig Grenfell WILLIAMS and Ms. Wing Kwan Winnie CHIU; and three independent non-executive directors, namely Mr. Kwok Wai CHAN, Mr. Kwong Siu LAM and Mr. Lai Him Abraham SHEK.
