According to a decision at HANZA AB's most recent Annual General Meeting, a Nomination Committee consisting of four members, including the Chairman of the Board, shall be appointed by the three largest shareholders or shareholder groups in terms of voting rights. As one of the principal shareholders is also the Chairman of the Board and therefore already has a seat on the Nomination Committee, he has waived his right to nominate a member in favor of the fourth largest individual shareholder.
The Nomination Committee for the 2026 Annual General Meeting has now been appointed and consists of the following members:
The members of the Nomination Committee have been appointed by shareholders in HANZA AB who, excluding the holdings of the Chairman of the Board, represent approximately 28 percent of the number of shares and votes in HANZA AB as of August 31, 2025.
The Nomination Committee shall submit proposals for resolutions on the following matters to the 2026 Annual General Meeting: Election of the Chairman of the Meeting, the Chairman and members of the Board, auditors, remuneration to the Board and auditors, and principles for the composition and work of the Nomination Committee ahead of the 2027 Annual General Meeting.
HANZA AB's 2026 Annual General Meeting will be held in direct connection with the company's premises at Torshamnsgatan 35 in Kista on Tuesday, May 12, 2026. Shareholders are welcome to submit proposals and comments to the Nomination Committee by email to [email protected] no later than March 1, 2026.
The Nomination Committee's proposals will be presented in the notice to the 2026 Annual General Meeting and on the company's website.
