Announcement of Options for CEO/Managing Director

The Remuneration Committee of Hansen Technologies Limited, as part of the annual remuneration review of the Chief Executive/Managing Director recommended to the Board of Directors that incentives be provided to the CEO through the issue of Share Options.

After considering the recommendations of the Remuneration Committee the Board of Directors resolved as follows:

“To submit to the Annual General Meeting in November 2013, a Resolution for consideration and approval of shareholders to issue 1,050,000 options, in accordance with the Company’s Share Option Plan, to the Chief Executive/Managing Director with;

• varying exercise prices based above the $1.01 market closing price for Hansen’s shares on 30 September 2013, being;

  • 350,000 options with an exercise price of $1.06

  • 350,000 options with an exercise price of $1.11

  • 350,000 options with an exercise price of $1.16

• a vesting date of 2 July 2016, subject to continuation of employment conditions as laid down in the Option Plan.”
