On 4 July 2016, Hansen Technologies Limited (“ Company ”) issued a parcel of 921,290 new fully paid ordinary shares in the capital of the Company (“ New Shares ”) at an issue price of A$2.17. The share issue was undertaken to fulfil a final contractual obligation that arose in respect to the payment of contingent consideration to the vendors of TeleBilling A/S, acquired by Hansen in May 2015.

An Appendix 3B relating to this issue is attached to this notice.

The Company hereby gives notice that:

  1. the New Shares were issued by the Company without a disclosure document under Part 6D.2 of the Corporations Act 2001 ( Act );

  2. this notice has been given under section 708A(5)(e) of the Act;

  3. as at the date of this notice, the Company has complied with:

  4. (a) the provisions of Chapter 2M of the Act as they apply to the Company; and

  5. (b) section 674 of the Act; and

  6. as at the date of this notice, there is no information that is ‘excluded information’ as defined in subsections 708A(7) and 708A(8) of the Act.
