Directorship changes

Hansen Technologies Limited advises of the appointment of Melinda Osborne to the position of non-executive Director with effect from 15 October 2012, and the resignation of Phil James with effect from 31 October 2012

In announcing the appointment of Melinda Osborne the Hansen Technologies Chairman, David Trude, said “It is a pleasure to welcome Melinda as a member of our Board. Melinda’s extensive 30 years of experience in Financial Director/management roles and her specific experience in the finance and stock broking sectors will add depth to the Board expertise in these areas. Melinda has no prior association with Hansen or the Hansen family and accordingly her appointment is consistent with the Board’s stated objective of increasing the level of independence on the Board. I am convinced Melinda has great value to offer to our company and I welcome the diversity she will bring to the Board.”

This appointment fills a casual vacancy on the Board and in accordance with the Company’s constitution Melinda Osborne will be presented for re-election as a Director at the coming Annual General Meeting of Shareholders on 22 November 2012.

Phil James has advised that he will be resigning as a Director with effect from 31 October 2012 to pursue alternative business ventures. Phil has been a Director of Hansen for the past 4 years. On behalf of the Board and shareholders we wish to record our appreciation for Phil’s contribution to Hansen and wish him every success in his new ventures.

Melinda Osborne is a Fellow of the Institute of Chartered Accountants having undertaken her initial training with Deloitte Haskin and Sells and ending up specialising in Corporate Taxation. Melinda subsequently held executive leadership roles including CFO and Company Secretary of Credit Suisse First Boston and First Pacific stock brokers as well as being executive Director and Company secretary of the listed Fleet Capital Limited. Melinda has subsequently held positions with charitable organisations.
