Appointment of Chairman – David Trude

At a meeting of the Board of Directors on 18 August 2011, Ken Hansen advised that after 10 years as Chairman and in recognition of the growing international focus of the Group’s activities he proposed that the timing was right to step down as Chairman and in so doing make way for the appointment of a new independent Chairman to preside over the next stages of Hansen’s growth.

The Board subsequently unanimously elected David Trude as Chairman, with immediate effect.

In announcing his departure as Chairman Ken Hansen said. “The Hansen group is in great shape. Our businesses are operating at industry leading levels. We have a successful track record of improved performance and are delivering a consistently strong level of return to shareholders. We are blessed with a strong balance sheet, excellent

management and a vision for the future. After more than 10 years as Chairman I believe it is time to bring new energy and expertise to this role. I am delighted David has accepted the role of Chairman. He brings to this position an enviable background of experience at all levels of business as well as very specific expertise in the financial services industry. As our business grows and expands internationally, David’s experience and market knowledge will offer strong guidance and leadership for our businesses development.

It is my intention to remain as a Director of Hansen for the foreseeable future.

As a representative of our Group’s major shareholder I wish to assure other shareholders that my departure as Chairman in no way lessens the Hansen family’s ongoing commitment to the future of Hansen Technologies. Andrew Hansen, who has been CEO of the business since before the company’s listing on the ASX back in 2000, will continue to plan and manage the execution of the Group’s initiatives and operations going forward. I am proud of our Company’s achievements. I am looking forward to continued growth and success under David’s stewardship”.

In accepting the position as Chairman David Trude said. “I am delighted that my fellow Directors have afforded me the honour to be Chairman of Hansen Technologies. I recognise that the Hansen business has a long and proud history. The public listing of the Hansen group back in 2000 was a major watershed step in the progress towards today’s successful internationally focused software development and IT services business.

I congratulate Ken Hansen on these achievements and on behalf of my fellow directors and shareholders, I wish to sincerely thank him for his years of service.

The strength of our Company’s performance and debt free balance sheet, position Hansen for a strong future. Recent acquisitions have extended the international expansion of our business. I am looking forward to working with Andrew Hansen and his executive

About David Trude

David Trude joined the Hansen Board in May 2011.

David has an extensive history in the financial services and securities industry. He is the Chairman of E.L & C. Baillieu Stockbrokers Limited and the former CEO and Managing Director of Credit Suisse Australia.

David holds a Degree in Commerce from the University of Queensland and is a member of many professional associations including the Society of Investment Professionals and the Stockbrokers Association of Australia.

He is also Chairman of Waterford Retirement Village, Chairman of East West Line Parks Ltd and panel member of ASX Disciplinary Tribunal.
