Notification of Transactions of Directors

On 7 May 2014, the Company was notified by the trustees of the Hammerson Share Incentive Plan (the "SIP") that ordinary shares of 25 pence each (the "Shares") in the Company were purchased on behalf of David Atkins, Peter Cole and Timon Drakesmith, Executive Directors, on 6 May 2014 under the Partnership Shares element of the SIP at a price of 575 pence per Share.  In accordance with the terms of the SIP, one Matching Share was awarded for each Partnership Share purchased.

On 8 May 2014, the Company was further notified by the SIP trustees that Dividend Shares were purchased on 2 May 2014 for Mr Atkins, Mr Cole and Mr Drakesmith at a price of 572 pence per Share.

The number of Dividend and Partnership Shares purchased, and Matching Shares awarded and the total holdings of the above named directors in the Company's Shares following the transactions are as follows:
