Item 8.01. Other Events .

On November 1, 2004, Answerthink, Inc. (the “Company”) issued a press release announcing a $5 million increase in the size of the Company’s share repurchase program, bringing the total program authorization to $25 million. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
