Notice of change in share capital
Filing of the statement pursuant to article 2444 of the Italian Civil Code
Zola Predosa (BO), 18 December 2024 – Further to the press release of 17 December 2024 relating to the execution of the capital increase (the "Capital Increase"), with the exclusion of pre-emption rights pursuant to Article 2441, paragraph 4, second sentence, of the Italian Civil Code, reserved for subscription by GVS Group S.r.l. ("GVS Group") resolved by GVS' Board of Directors on 2 December 2024, GVS S.p.A. ("GVS" or the "Company" or the "Group") communicates the new composition of its share capital (fully subscribed and paid up), following the execution, on 17 December 2024, of the Capital Increase
As a result of the execution of the aforementioned Capital Increase, the share capital has increasedthrough the issuance of no. 14,177,693 ordinary shares, with no par value and with the same characteristics as the outstanding ordinary shares – by an amount equal to Euro 141,776.93 in capital (in addition to the share premium of Euro 74,858,219.04) and is composed as indicated below.

The statement of execution of the Capital Increase pursuant to Article 2444 of the Italian Civil Code was filed with the Companies' Register of Bologna on 17 December 2024, along with the new version of GVS' Articles of Association, updated with the new amount of share capital. The new version of GVS' Articles of Association will be made available to the public according to applicable legislation at the Company's administrative offices in Zola Predosa (BO), Via Roma 50, on the Company's
