SEBI Circular dated October 18, 2019 bearing CIR/CFD/CMD1/114/2019 Ref: and our letter dated 31st August, 2020

We are in receipt of resignation letters dated 12th March, 2021 (received today) and 12th April, 2021 from the Statutory Auditors of Mumbai International Airport Limited and GVK Airport Holdings Limited, respectively, which are material subsidiaries to our Company.

Copy of the respective resignation letters are enclosed herewith for your information and records, which are self-explanatory.

This letter is in connection with our appointment as statutory auditors of Mumbai International Airport Limited (the "Company" or "MIAL") in the 11th Annual General Meeting held on September 04, 2017 for a period of 5 years starting from April 1, 2018 until the conclusion of the 16th Annual General Meeting.

Based on our discussions with the management of MIAL and our reading of the minutes of the 70th Board meeting of the Company held on September 9, 2020, we understand that the shareholding of the Company would undergo a change pursuant to an Agreement entered into between GVK Airport Developers Limited (GVKADL) and GVK Airport Holdings Limited (GVKAHL) with Adani Airports Holding Limited (AAHL), pursuant to which the Company will become a subsidiary of Adani Enterprises Limited (AEL).

We have enquired and observed that there are certain non-audit services which are being provided by another member firm of alobal network to AAHL and AEL, because of which we regret to inform you of our inability to continue as the statutory auditors of Mumbai International Airport Limited under our internal independence requirements up to the conclusion of the 16th Annual General Meeting of your Company and request you to treat this as our letter of resignation with immediate effect.

We have audited the financial statements of the Company for the year ended March 31, 2020 and issued audit report dated December 31, 2020 thereon. We have not commenced the audit of the Company as at and for the vear ended March 31, 2021.

We refer to our appointment as statutory auditors of GVK Airport Holdings Limited ('the Company' or 'GVKAHL') in the 13th Annual General Meeting held on September 29, 2018 for a period of 5 years starting from April 1, 2019 until the conclusion of the 18th Annual General Meeting.

Based on our discussions with the management of GVKAHL and our reading of the minutes of the 84th Board meeting of the Company held on August 26, 2020, we understand that the shareholding of the Company would undergo a change pursuant to an Agreement entered into between the Company, Adani Airports Holding Limited ("AAHL") and certain other group companies of the Company and AAHL, pursuant to which the Company will become a subsidiary of Adani Airport Holdings Limited, which in turn is a subsidiary of Adani Enterprises Limited ("AEL").

We have enquired and observed that there are certain non-audit services which are being provided by another member firm to AAHL and AEL, because of which we regret to inform you of our inability to continue as the statutory auditors of GVK Airport Holdings Limited under our internal independence requirements up to the conclusion of the 18th Annual General Meeting of your Company and request you to treat this as our letter of resignation with immediate effect.

We have audited the financial statements of the Company for the year ended March 31, 2020 and issued audit report dated March 31, 2021 thereon. Further, we have not commenced the audit of the Company as at and for the year ending March 31, 2021.
