Capital Increase Activation الشركة مال رأس زيادة إجراءات

Reference to the resolutions of the General Assembly Meeting held on 11 September 2023, which included shareholders’ approval on the Capital Increase through the private issuance of 220 million mandatory convertible bonds (“MCBs”) to new investors which will be converted to 200 million shares at a conversion price of AED 1.10 and the increase in the share capital of the Company to become AED 837,695,625, we would like to notify the shareholders that the Company has completed the requirements to increase the Capital with SCA, and activating the capital increase on Dubai Financial Market will be as follows:

• Activation date: 10 October 2023 (After trading hours)

• Capital before increase: AED 637,695,625

• Capital after increase: AED 837,695,625

• Increase percentage: 31.36 %

We would also like to inform our shareholders that there will be no change to the current share price. Furthermore, all new 200 million shares will be subject to 1-year lockup period until October 10, 2024.
