In terms of Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (Listing Regulations), we write to advise that the Board of Directors of the Company at the meeting held today i.e. 16[th] August, 2021:

• a) Taken note of the resignation of Mr. Mayur Agarwal, Chief Financial Officer of the Company with effect from close of business hours on 14[th] August, 2021.

• b) Appointed Mr. Nitish Goenka as the Chief Financial Officer of the Company with immediate effect.

• Brief profile of Mr. Goenka, pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 is attached as Annexure 1 .

• c) Appointed Mr. Nitish Goenka, Chief Financial Officer, Mr. Avinash Deshmukh, Chief Executive Officer and Ms. Parinita Bhutani, Company Secretary, any two of them jointly, as authorised persons to determine materiality of an event / information pursuant to the Company’s Policy for determination of materiality of events and information for disclosure to the Stock Exchange.

Mr Nitish Goenka aged 30 years, is a qualified Chartered Accountant and graduate from Shri Ram College of Commerce with 5 years of post-qualification experience in Hotel industry.

He has various accolades to his credit in his career spanning over 5 years with ITC Hotels Division and has held various positions in ITC’s - prestigious Hotels including ITC Grand Goa Resort & Spa and Sheraton, New Delhi.
