Sub.: Change in Directorships

In terms of Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (Listing Regulations), we write to advise that the Board of Directors of the Company at their meeting held today i.e. 12[th] November, 2021, inter-alia :

• a) Took note of the resignation of Mr. Jagdish Singh, Director of the Company with effect from close of work on 12[th] November, 2021; and

• b) Appointed Mr. Ashish Thakar as an Additional Non-Executive NonIndependent Director of the Company effective 13[th] November, 2021 to hold the office upto the ensuing Annual General Meeting of the Company. Mr. Thakar is not debarred from holding the office of Director of the Company by virtue of an order of the SEBI or any other authority. He is not related to any other director of the Company. Brief profile of Mr. Thakar, is attached as Annexure 1.

The meeting commenced at 3.15 p.m. and concluded at 3.30 p.m.

Profile:

Mr. Ashish Thakar (55), DIN: 0938347, a Chartered Accountant and M.B.A., joined ITC Limited in 1992 at its Corporate Head Office in Kolkata. During his stint with Hotels Division since 1994, he was posted at various hotels viz. Welcomgroup Searock, ITC Windsor, ITC Kakatiya, ITC Park Sheraton, ITC Sonar, Hotels Division Headquarters. Mr. Thakar was instrumental in the opening ITC Kakatiya in 1996 and ITC Sonar in 2002 where he was posted as the first Financial Controller of these properties.

Between 2007 and 2011, he headed the Strategic Systems Project Group which led the IT and business process transformation at ITC Hotels, by enabling the latest IT systems at that point in time viz. SAP, Micros POS, Opera PMS and Central Reservation, Siebel Loyalty, Shawman POS etc.

Thereafter, he moved to ITC Corporate Finance, where he worked in the Strategic Planning cell upto 2014.

In his last assignment, he led the Finance and Commercial function for ITC Foods emerging business categories like Juices, Dairy, Chocolates, Confectionary, Coffee etc. as VP -Finance between 2014 – 2021.
