The Members of Gujarat Ambuja Exports Limited (the "Company") are hereby informed tl1at pursuant to the provisions of Section 110 and Section 108 and other applicable provisions, if any, of the Companies Act, 2013 (the "Act") read with Ruic 20 and 22 of the Companies (Management and Administration) Rules, 20 14 (the "Rules") as amended form time to time and Securities and Ex:change Board oflndia (Listing Obligations and Disclosure Requiremenis) Regulation, 201 S (the "Listing Regulation") read with General Circular Nos. 14/2020 dated og• April. 2020, 17/2020 dated 13• Apri I. 2020 and other subsequent circulars issued in this regard. the latest being General Circular No. 03/2025 dated 22"' September, 2025 issued by the Ministry o f Corporate Affairs (Collectively referred as "MCA Circulars"), Secretarial Standard on General Meeting ( .. SS-2") issued by the Institute of Company Secretaries of India and other applicable law and regulations, as amended from time to time (i.ncluding any statutory modification(s) or re-cnactment(s) thereof for the rime being in force), that the Company is seeking approval of Members for the special business as set out in the Postal Ballot Notice dated 30• January, 2026 ("Posta l Ballot Notice'') by way of voting through electronic means ("remote e-voting") only.

The electronic copy of Postal Ballot Notice along with Explanatory Statement and e-voting instruction for remote e-voting have been sent only by email and completed on Monday, 16" February, 2026 10 those Members who have registered their email address with the Company or Depository Participant(s) on Friday, 13• February, 2026 (''Cut-of date''). Physical copy of Postal Ballot Notice, postal ballot form and pre-paid business reply envelope have not been sent to the Members for this postal ballot in line with the exemption provided in MCA Circulars and Members arc required to communicate their assent or dissent only through the remote e-voting only. The documents referred to in this Postal Ballot Notice, if any, arc available for inspection and Members seeking inspection can sent an email to cs@ambujagroup.com.

Postal Ballot Notice along with Explanatory Statement and e-voting instruction for remote c-voting arc also available on the website of the Company at www ambujagroup.com and at the websites of SSE Limited ("SSE") and National Stock Ex:change of India Limited (''NSE") i.e. www bscjndja com and www nsejodja com respectively and at the website of Central Depository Services (India) Limited ("CDSL" ) i.e. www.cvotingindia.com.

Members who have not registered their email addresses with the Company I RTA/ DPs and consequently have not received Postal Ballot Notice may register their email address by sending, scanned copy of a signed request letter mentioning name, folio number and complete address, sclfattested scanned copy of the PAN Card and self-attested scanned copy of AA DHAR card in support of the address of the Member as registered with the Company, by email to jnyes1or-jcsl@ambuja11roup com. Members holding shares in dcmat form can update their email address with their Depository Partic ipant. Members holding shares in physical fonn can also get their email address and other details registered by following the steps as mentioned on the website of the Company at httos://www.ambujagrouo.com/cmail-rcgistration.

The Company has engaged the service ofCDSL to provide e-voting facility. The details instructions for remote e-voting have been provided in the Postal Ballot Notice.

The remotee-voting facility is available during the following period:

Commencementofremotee-voting	Wednesday, 1s• Febniary, 2026 at 9:00a.m. IST
Conclusion ofremote e-\•oting	Thursday, J 9• March,2026 at 5:00 p.m. IST

The remotee-voting module shall be disabled by CDSL for voting thereafter.

During the remote e-voting period, Members holding share either in physical form or dematerialised form as on Cut-of date i.e. Friday, 13• February, 2026 ("Cut-of date") may cast their vote by remote e-voting. Once the vote on a resolution is cast by Member, he/she is not allowed to change it subsequently. The voting righl5 of the Members shall be in proportion to their share of the paid-up equity capital of the Company as on the Cut-of date. Any person who is not a Member as on Lhe said Cut-of date should treat this Postal Ballot Notice for information purpose only.

The Board ofDircctors of the Company has appointed CS Chirag Shah (Membership No. FCS: 5545; CP No: 3498) and failing him CS Raimccn Maradiya (Membership No. FCS: 11283; CP No: 17554) o f Mis. Chi rag Shah & Associates, Practicing Company Secretaries as the scrutinizer for conducting postal ballot process in a fair and transparent manner.

The scrutinizer will submit his rcpon to the Chairman or any authorised person of the company and the result of postal ballot will be announced on or before Monday, 23'" March, 2026. The said result along with tl1e scrutinizer's report would be displayed at the Registered Office of the Company and be placed on the website o f the Company at www.ambujagroun.com and on the website of the CDS Lat www.cvotingindia.com. The result will also be communicated lo BSE and NSE where the equity shares of the Company arc listed.

|૨૦૨૬ના રોજ તેવા સભ્યોને ઈમેઈલ દ્વારા મોકલવામાં આવી છે જેમણે કંપની કે ડિપોઝિટરી પાર્ટિસિપન્ટ સાથે પોતાન ઈમેઈલ સરનામું શુક્રવાર, ૧૩મી ફેબ્રુઆરી, ૨૦૨૬ ("કટ-ઓફ તારીખ") ના રોજ રજીસ્ટર કરેલા છે. એમસીએ પરિપત્રોમાં આપવામાં આવેલી મુક્તિને અનુરૂપ આ પોસ્ટલ બિલોટ માટે નોટિસની ફિઝિકલ કોપી, પોસ્ટલ બેલોટ ફોર્મ અને પ્રિ-પેઇડ બિઝનેસ રિપ્લાય કવર સભ્યોને મોકલવામાં આવશે નહીં. સભ્યોએ તેમની સંમતિ અથવા અસંમતિ ફક્ત રિમોટ ઈ-વોટિંગ દ્વારા જ જણાવવાની રહેશે. પોસ્ટલ બેલોટ નોટિસમાં ઉલ્લેખિત દસ્તાવેજો નિરીક્ષણ માટે ઉપલબ્ધ છે. અને નિરીક્ષણ કરવા ઇચ્છતા સભ્યો cs@ambujagroup.com પર ઈમેઈલ મોકલી શકે છે.
