Appointment of a new director

The Annual General Meeting of Shareholders held on May 27, 2011 approved the appointment of a new independent director, Mrs. Marie-Claire Janailhac-Fritsch.

Guerbet's Board of Directors, which met on 1 March 2011 under the chairmanship of Jean-Jacques Bertrand, decided to present the candidacy of Mrs. Marie-Claire Janailhac-Fritsch to the Annual General Meeting of Shareholders.

The Board of Directors decided that Mrs. Marie-Claire Janailhac-Fritsch met the independence criteria required by the AFEP/MEDEF code of corporate governance for listed companies.

Marie-Claire Janailhac-Fritsch is a consultant for the cosmetics industry and a member of the French Directors Institute (IFA). She will be bringing her acknowledged experience in the pharmaceutical industry and the development of innovative molecules for the cosmetics market to the Board.

About Marie-Claire Janailhac-Fritsch

Madame Janailhac-Fritsch, who graduated from the highly-rated Hautes Etudes Commerciales (H.E.C) Business School in 1978, has professional experience stretching back more than thirty years, including ten years in the pharmaceutical industry, from 1978 to 1987.

Since 1987 Mrs. Janailhac-Fritsch has worked in the cosmetics industry and has created a number of start-ups having developed new, particularly innovative molecules in the cosmetics sectors, which she chaired before selling them on to a Canadian chemicals and pharmaceuticals group.

Since 2003 Mrs. Janailhac-Fritsch has been a consultant in the cosmetics field and her recent achievements include:

  • setting up spas in Japan for French brands (Cosmetics/Nutrition & Health)
  • research for and a conference on organic cosmetics for an international Japanese group
  • complete repositioning of a French cosmetic range distributed in pharmacies
  • marketing and distribution of a range of nutritional & food complement products for a Chinese group in Europe: registration and product files, positioning, sales force training, communications.

Mrs. Janailhac-Fritsch is Chairman of the Amis du Théâtre du Châtelet, a charitable role.
