2021 Annual General Shareholders' Meeting Notice

1. 2021 Annual General Shareholders' Meeting (the "Meeting") of Global Unichip Corp. (the "Company") will be convened at the 3rd Floor, No. 10, Li-Hsin 6[th] Road, Hsinchu Science Park , Hsinchu City, at 9:30 a.m. on Thursday, May 20, 2021.

   • (1) During COVID-19 epidemic period, shareholders are encouraged to make use of electronic voting through STOCKVOTE platform to exercise their voting rights. (STOCKVOTE platform: http://www.stockvote.com.tw)

   • (2) If a change in meeting venue is deemed necessary due to epidemic prevention reasons, we will update such information on GUC’s website and make the related public announcements on Market Observation Post System (MOPS). (GUC’s website:

1. The agenda for the Meeting is as follows:

• (1)Report Items

  • (1.1) To report the business of 2020

  • (1.2) The communication between convener of Audit Committee & independent directors and internal audit officer, and 2020 Audit Committee's Review Report

  • (1.3) To report 2020 Employees' Cash Bonus and Directors' Compensation

  • (1.4) To report the modification of Procedures for Ethical Corporate Management and Guidelines of Conduct

• (2)Matters for Ratification

  • (2.1) To Accept 2020 Business Report and Financial Statements

  • (2.2) To Approve the Proposal for Distribution of 2020 Profits

1. The major item of the proposal for distribution of 2020 profits adopted at the meeting of the Board of Directors is as follows: cash dividend of NTD$ 670,059,555 from the retained earnings at NT$5.0 per share.

2. After discussions on all resolutions have been completed, every resolution in the Meeting will be voted on back-to-back and tallied separately.

3. Please wear a mask when entering the venue and body temperature measurement will be performed.
