Change in the shareholding in Globe Trade Centre S.A. and appointmentof Mr. Dominik Januszewski as the Supervisory Board member of GlobeTrade Centre SA
The Management Board of Globe Trade Center S.A. (_quot;Company_quot;) herebyinforms that on 16 May 2023, it received a notification from PowszechneTowarzystwo Emerytalne Allianz Polska S.A., acting on behalf of AllianzPolska Otwarty Fundusz Emerytalny (_quot;Allianz OFE_quot;), stating that on 12May 2023, the share of Allianz OFE in the total number of votes in theCompany were above the 10% threshold due to liquidation of Drugi AllianzPolska Otwarty Fundusz Emerytalny (_quot;Drugi Allianz OFE_quot;) and the transferof its assets to Allianz OFE.
Before the liquidation of Drugi Allianz OFE, Allianz OFE and DrugiAllianz OFE held jointly 62,330,336 shares in the Company, representing10.85% of the share capital of the Company entitling to 62,330,336 votesin the Company and carrying the right to10.85% in the total number ofvotes in the Company.
After the liquidation of the Drugi Allianz OFE, Allianz OFE helddirectly 62,330,336 shares of the Company, representing 10.85% of theshare capital of the Company entitling to 62,330,336 votes in theCompany and carrying the right to10.85% of the total number of votes inthe Company.
Allianz OFE has also notified that:
? it does not have subsidiaries which hold shares in the Company,
? a situation referred to Article 69 section 4 point 6 of the Polish Acton Public Offering, the Conditions Governing the Introduction ofFinancial Instruments to Organised Trading, and on Public Companies of29 July 2005 does not take place,
? it does not hold financial instruments referred to Article 69b section1 point 1 and 2 of the act mention above.
Additionally, Powszechne Towarzystwo Emerytalne Allianz Polska S.A.acting on behalf of Allianz OFE with its registered office in Warsaw,Poland, appointed Mr. Dominik Januszewski as a member of the SupervisoryBoard of the Company, effective immediately. Appointment was madepursuant to article 9 point 1 a) of the articles of association of theCompany.
Dominik Januszewski is a Senior Advisor in the field of management andfinance with more than 25 years of experience in Ernst_amp;Young and ArturAndersen. Between 2005-2019 he worked as a Partner in Ernst_amp;Young,responsible for business advisory, transaction consulting, privatizationprojects, as well as financial audits. Between 2016 and 2019 was amember of European Executive Boards of Ernst_amp;Young Financial SectorDivision. His clients included the largest financial institutions inPoland. Currently, he is responsible for Strategic Consulting team ofJLL, focusing on development and implementation of ESG and energyoptimisation strategies for enterprises.
Dominik Januszewski is a Polish Chartered Auditor. He completed manyprofessional trainings relating to advisory and management. In 2018completed the course for Top Executives in Harvard Business School. In2022 obtained the University of Cambridge Certificate: "BusinessSustainability Management". Dominik Januszewski graduated fromUniversity of Łódź, Economics and Sociology Department, Finance andBanking Faculty.
According to his statement, Dominik Januszewski is not entered in theregister of insolvent debtors maintained in compliance with the Act onthe National Court Register dated 20 August 1997, does not perform anyactivities outside of the Company's business which could be consideredcompetitive with respect thereto, does not participate in anycompetitive business either as a partner in a civil partnership or anyother type of partnership, and is not a member of the authorities of anycompetitive company or any other competitive entity. Dominik Januszewskialso confirmed that he meets independence criteria of a supervisoryboard member set out by the European Union Commission in Annex II to theCommission Recommendation of 15 February 2005 concerning non-executiveor supervisory directors of stock exchange companies and committees ofthe (supervisory) board (Official Journal of the EU.L.05.52.51) andadditional requirements indicated in the Best Practices of CompaniesListed on the Warsaw Stock Exchange, attached to Resolution No.20/1287/2011 of the Exchange Supervisory Board of October 19, 2011.
Legal basis: Art. 70 point 1 of the Polish Act on Public Offering,the Conditions Governing the Introduction of Financial Instruments toOrganised Trading, and on Public Companies of 29 July 2005 and Art. 5point 5 of the Regulation of the Minister of Finance of 29 March 2018 oncurrent and periodic disclosures by issuers of securities and theconditions for recognising as equivalent the information that isrequired by the laws of a non-member state.
