Report Content Appointment of Supervisory Board members of Globe Trade Centre S.A.

The Management Board of Globe Trade Center S.A. ("Company") herebyinforms that on 16 April 2025, it received a written notice from GTCDutch Holdings B.V. with its registered office in Amsterdam, theNetherlands (the "Entitled Shareholder"), according to which theEntitled Shareholder re-appoints:

- Mr. Ferenc Minrik and

- Mr. Istvn Hegeds

as members of the Supervisory Board of the Company, effective 17 April2025.

Appointment was made pursuant to article 9 point 1 a)-c) of the Articlesof Association of the Company.

Pursuant to the deposit certificate attached to the notice, GTC DutchHoldings B.V. holds 337,637,591 shares in the Company, which constitute58.80% of the Company's share capital, and therefore is entitled toappoint members of the Supervisory Board of the Company pursuant to theArticles of Association of the Company.

According to the statements Mr. Ferenc Minrik and Mr. Istvn Hegedsare not entered in the register of insolvent debtors maintained incompliance with the Act on the National Court Register dated 20 August1997, do not perform any activities outside of the Company's businesswhich could be considered competitive with respect thereto, do notparticipate in any competitive business either as a partner in a civilpartnership or any other type of partnership, and are not members of theauthorities of any competing company or any other competing entity.

Moreover, Mr. Ferenc Minrik fulfils the independence criteria asspecified in Annex No. II to Commission Recommendation 2005/162/EC of 15February 2005 on the role of non-executive or supervisory directors oflisted companies and on the committees of the (supervisory) board.

Mr. Ferenc Minrik is a wide-experienced attorney-at-law who has morethan 15 year experience in real estate development and M_A transactions,as well as in corporate governance. As an attorney-at-law he managesseveral international real estate portfolios of his clients. In 2018 heacquired the Real Estate Lawyer of the Year award in Hungary. In thelast few years he moved on to the financial markets and he providesprofessional legal assistance for Hungarian banks and financialinstitutions as well. Dr. Ferenc Minarik graduated from Faculty of Lawand Political Sciences of Eötvös Lórnd University (ELTE) in 2009.

Mr. Istvn Hegeds is a graduate of the predecessor institution ofBudapest Corvinus University, as economist. He has extensive,decades-long entrepreneurial experience and knowledge. Throughout hiscareer, he has been involved in start-ups where he was holding topmanagement positions in newly established businesses in industriesincluding media, finance, food. Mr. Hegeds manages Optima Group in hiscapacity of CEO since March 2025.
