Report Content Changes in the Supervisory Board of Globe Trade Centre S.A.
The Management Board of Globe Trade Center S.A. ("Company") herebyinforms that on 22 April 2025, it received a written notice from GTCDutch Holdings B.V. with its registered office in Amsterdam, theNetherlands (the "Entitled Shareholder"), according to which theEntitled Shareholder revokes Mr. Tams Sndor and Mr. Csaba Cservenkfrom the positions of members of the Supervisory Board of the Company,effective as of 22 April 2025. The dismissal was made pursuant toarticle 9 point 4 of the Articles of Association of the Company.
Additionally, Entitled Shareholder, appoints Mr. Ferenc Daróczi asmember of the Supervisory Board of the Company, effective as of the dateof receipt of 22 April 2025. Appointment was made pursuant to article 9point 1 a)-c) of the Articles of Association of the Company.
Pursuant to the deposit certificate attached to the notice, GTC DutchHoldings B.V. holds 337,637,591 shares in the Company, which constitute58.80% of the Company's share capital, and therefore is entitled toappoint members of the Supervisory Board of the Company pursuant to theArticles of Association of the Company.
According to the statements Mr. Ferenc Daróczi is not entered in theregister of insolvent debtors maintained in compliance with the Act onthe National Court Register dated 20 August 1997, do not perform anyactivities outside of the Company's business which could be consideredcompetitive with respect thereto, do not participate in any competitivebusiness either as a partner in a civil partnership or any other type ofpartnership, and is not members of the authorities of any competingcompany or any other competing entity. Moreover, Mr. Ferenc Daróczifulfils the independence criteria as specified in Annex No. II toCommission Recommendation 2005/162/EC of 15 February 2005 on the role ofnon-executive or supervisory directors of listed companies and on thecommittees of the (supervisory) board.
Mr. Ferenc Daróczi has more than three decades of experience inconstruction, investment and real estate development. He began hiscareer with almost six years of construction work in Germany beforereturning to Hungary to develop the ECE RKD shopping centers inBudapest, Pcs und Gyr, as team leader. In 2008, he was appointedManaging Director of HOCHTIEF Development Kft, whose name is associatedwith the development of the Capital Square office building in Budapest.Since 2013, he has been managing a private investment management andreal estate development company, which has continuously prepared andimplemented factories, monument projects, logistics projects, officebuildings and residential projects in Hungary, realizing hundreds ofthousands of square meters of investments so far. He also acts as theHungarian managing director of three large international real estatecompanies, specifically highlighted Allianz Eiffel Square Kft of AllianzGroup and Szervita Square Kft of Union Group, which are emblematicoffice buildings on the Budapest office market.
Ferenc Daróczi graduated in architecture from the Ybl Miklós TechnicalUniversity in Budapest. He has been a member of the RICS (RoyalInstitution of Chartered Surveyors) since 2012.
