Report Content Appointment of a Supervisory Board member

The Management Board of Globe Trade Centre SA ("Company") announces thaton 25 September 2024 it received a written statement of PowszechneTowarzystwo Emerytalne PZU SA representing Otwarty Fundusz EmerytalnyPZU "Złota Jesień" with its registered office in Warsaw, Poland("Entitled Shareholder"), stipulating that the Entitled Shareholderappoints Mrs. Magdalena Frąckowiak as member of the Supervisory Board ofthe Company, for a 3-year term starting on 25 September 2024.Appointment was made pursuant to article 9 point 1 of the Articles ofAssociation of the Company.

Pursuant to its statement and the deposit certificate attached thereto,the Entitled Shareholder holds 54 808 287 shares in the Company, whichconstitute 9.54 % of the Company's share capital.

Magdalena Frąckowiak is an attorney-at-law with over 15 years ofprofessional experience in legal advice in commercial, corporate,mergers and acquisitions (M_amp;A) and financing matters. She is authorizedto practice as a lawyer in Poland and Great Britain. Mrs. Frąckowiakspecializes in transaction advisory, in particular M_amp;A transactions,Venture Capital, financing and cross-border transactions. Mrs.Frąckowiak started her career at KPG Spółka Partnerska Attorneys Keller,Książek, Grodzińska (currently Keller_amp;Wspólnicy sp.k.) and later workedfor Credit Suisse Poland Sp. z o. o., Global Trading Group (CashEquities Trading Support). Currently, Mrs. Frąckowiak is an attorney atLSW Bieńkowski, Laskowski, Leśnodorski, Melzacki i Wspólnicy sp.k.

Magdalena Frąckowiak graduated in law, Faculty of Law, Administrationand Economics of the University of Wrocław, and then completed legaltraining. Additionally, graduated from English-language LL.Mpostgraduate studies with specialization in International Commercial Lawat Kozminski University, Warsaw.

According to the statement, Magdalena Frąckowiak is not entered in theregister of insolvent debtors maintained in compliance with the NationalCourt Register Act dated 20 August 1997, does not perform any activitiesoutside of the Company's business which could be considered competitivewith respect thereto, does not participate in any competitive businesseither as a partner in a civil partnership or any other type ofpartnership, and is not a member of the authorities of any competingcompany or any other competing entity. Moreover, Mrs. Frąckowiak fulfilsthe independence criteria as specified in Annex No. II to CommissionRecommendation 2005/162/EC of 15 February 2005 on the role ofnon-executive or supervisory directors of listed companies and on thecommittees of the (supervisory) board.
