Changes in the Management Board of Globe Trade Centre SA

The Management Board of Globe Trade Centre SA ("GTC", "Company") informsthat on 25 April 2023, the Company entered into a mutual employmentcontract termination agreement with Mr. Ariel Ferstman. Mr. Ferstmanresigned from his seat on the Management Board of the Company as well asGTC Real Estate Development Hungary Zrt. The resignation is effective asof 25 April 2023. After this date, Mr. Ferstman will stay with GTCcovering the regional functions of capital markets, M_amp;A, fundraising andcreation of new investment platforms for the GTC Group.

On 25 April 2023, the Supervisory Board of GTC nominated Barbara Sikorato the post of Chief Financial Officer of Globe Trade Centre Group and amember of the Management Board of GTC SA. Ms. Sikora is a seniorfinancial executive involved in all aspects of corporate finance andbusiness development, managing, as a board member, CEO and CFO, largegroups of companies. She has vast experience in real estate andconstruction sectors as well as audit and transaction support. BarbaraSikora has almost 20 years' experience in construction and real estatesector specialising in finance, asset and operational management. Priorto joining GTC, she held positions of Head of Corporate Finance as wellas Asset Management Director for Residential Projects with G CityEurope, where she was involved, among others, in setting up a new PRSplatform, Urban Home. During her extensive career, Ms Sikora also actedas a Partner and Senior Partner for Griffin Real Estate, holdingpositions of the fund's CFO as well as its selected platforms' CFO andCEO. Ms Sikora was co-responsible for setting up and running Resi4Rent,the biggest PRS platform in Poland, acting as its CFO, as well asacquiring construction and investment financing for the platform. At thesame time, she was a CEO of Chariot Top Group, a group of 28 shoppingcentres in Poland with 0.7 million sq. m GLA and a value of EUR 1billion. Furthermore, over the years, she has held senior positions atImmobel Group SA, Centrum Development and Investment Sarl Group andBudimex SA being in charge of finance, tax, HR and administration of thegroups. Barbara's nomination will be effective as of 1 May 2023.

Barbara Sikora holds a master's degree from the University of Economicsin Poznań, faculty of International Relations, International FinancialManagement, Executive Master of Business Administration (EMBA),University of Illinois at Urbana-Champaign, USA; Mrs. Sikora isCertified Internal Auditor (CIA), member of the Institute of InternalAuditors and Fellow Member of the Association of Chartered CertifiedAccountants (ACCA).

According to her statement, Ms. Sikora is not entered in the register ofinsolvent debtors maintained in compliance with the Act on the NationalCourt Register dated 20 August 1997, does not perform any activitiesoutside of the Company's business which could be considered competitivewith respect thereto, does not participate in any competitive businesseither as a partner in a civil partnership or any other type ofpartnership, and is not a member of the authorities of any competitivecompany or any other competitive entity.

Legal grounds: § 5 section 4 of the Regulation of the Minister ofFinance of 29 March 2018 on current and periodic disclosures by issuersof securities and the conditions for recognising as equivalent theinformation that is required by the laws of a non-member state.
