STATEMENT

I, duly signed, Mariusz Grendowicz, grant my consent to make myself available as candidate and play the role as the Supervisory Board Member of Globe Trade Centre S.A., with its registered office in Warsaw, at ul. 17 Stycznia 45A, 02-146 Warsaw, entered into the register of entrepreneurs under no. 0000061500, whose documentation is maintained by the District Court for the City of Warsaw, 13th Commercial Division of the National Court Register, ("Company").

I hereby declare I fulfill all the criteria for being the Company Supervisory Board Member candidate in particular:

• 1) There is no conflict of interests while being a Supervisory Board Member of the Company. I hereby state, I do not conduct competitive activities beyond the Company which is contradictory to the Company and I do not participate in competitive companies as a shareholder in the civil company, partnership, or as the member of the authority or body in capital company and I do not participate as a member of the managing body of such competitive legal entity,
• 2) I do have full legal capacity and I am not a defendant in criminal proceeding and well as I have never been convicted on the basis of the final judgement of the criminal court,
• 3) I am not registered in the Polish insolvent debtors register,
• 4) I fulfill the independence criteria of the member of the supervisory board as stipulated in the article 9 section 5 of the Company's Statute,
• 5) I do not hold any function on the public position.
