PROPOSAL OF A CANDIDATE TO THE SUPERVISORY BOARD OF GLOBE TRADE CENTRE S.A.

We undersigned, acting in their capacity as managing directors of GTC Dutch Holdings B.V., a company duly incorporated under the Dutch law with its registered seat at Herikerbergweg, 238, Luna Arena, 1101 CM Amsterdam, the Netherlands ("Company") and in such capacity duly authorized to represent the Company, based on article 9.6 of article of association of Globe Trade Centre S.A. ("GTC S.A.") hereby propose on behalf of the Company Mr. Mariusz Grendowicz as a candidate for the Independent Member of the Supervisory Board of GTC S.A. elected in accordance with article 9.5 of article of association of GTC S.A during the Annual Shareholders Meeting in 2019.

Mr. Mariusz Grendowicz holds professional qualifications and experience required to perform the function of the Independent Member of the Supervisory Board of GTC S.A.

Mr. Mariusz Grendowicz has been a member of the Supervisory Boards of Aviva Poland since 2012, Arctic Paper SA since 2012 and Money Makers since 2012. In 2013- 2014 he was President and Chief Executive Officer of Polish Investments for Development SA. In 2008-2010, he was President of the Management Board and Chief Executive Officer of BRE Bank SA, and earlier, in 2001- 2006 was a Vice President of Bank BPH SA, responsible for Corporate Banking and Real Estate Division. During his career, he was also President and Deputy President of ABN AMRO in Poland (1997-2001), Deputy President of ING Bank in Hungary (1995-1997) and headed division of structured finance and capital markets in ING Bank in Warsaw (1992-1995). In 1983-1992 Mariusz Grendowicz worked in banks in London, including Australia and New Zealand Banking Group and Citibank. Mariusz Grendowicz studied at the University of Gdansk and then graduated with a degree in banking in the United Kingdom.

Mr. Mariusz Grendowicz performed the function of the Independent Member of the Supervisory Board of GTC S.A. in the previous term of office in compliance with top standards of conduct of members of supervisory boards.

This proposal is accompanied by a consent of Mr. Mariusz Grendowicz to be candidate to the Supervisory Board of GTC S.A. and his declaration of complying with the requirements according to article 9.6 of article of association of GTC S.A.

W latach 2008-2010, by/ Prezesem Zarzadu BRE Bank SA, a wczesniej, w latach 2001 - 2006 by/ wiceprezesem Bank BPH SA, odpowiedzialnym za bankowosc korporacyjnq i finansowanie nieruchomoscl. Podczas jego kariery, by/ r6wniei: prezesem i wiceprezesem ABN AMRO w Polsce (1997-2001), wiceprezesem ING Bank na W~grzech (1995-1997) i stal na czele pionu finansowania strukturalnego i rynk6w kapitalowych w ING Banku w Warszawie ( 1992-1995). W 1983-1992 Mariusz Grendowicz pracowal w bankach w Londynie, w tym w Australia and New Zealand Banking Group Ltd i Citibanku.
