Appointment of Supervisory Board member of Globe Trade Centre S.A.
The management board of the Company hereby informs that on 21 December2018 it received a written statement of GTC Dutch Holdings B.V., withits registered seat at Herikerbergweg 238, Luna Arena 1101 CM Amsterdam,the Netherlands, (the "Entitled Shareholder"), according to which theEntitled Shareholder, pursuant to sections 9.1.a), 9.1b) and 9.1c) ofthe articles of association of the Company appoints Mr. Patric Haerle asa member of the supervisory board of the Company, effective immediately.
Pursuant to its statement and the deposit certificate attached thereto,the Entitled Shareholder holds 298,575,091 shares in the Company, whichconstitute 61.75% of the Company's share capital and entitles the holderthereof to 61.75% of the votes at the general meeting of the Company.
Patrick Haerle has over 12 years of experience in national andcross-border commercial real estate investments, transactions (asset andshare deals) and development projects, including financing throughoutEurope. He is experienced in complex single asset and portfoliotransactions across the entire sector. As Senior Vice President Legal &Closing of Hudson Advisors Germany GmbH he focuses on transactionalwork, including M&A, financing and debt restructuring as well as assetmanagement regarding Lone Star investments in Germany, Austria andCEE/SEE. Mr. Haerle also serves as member and deputy chairman of theSupervisory Board of Centrice Real Estate GmbH. Prior to joining HudsonAdvisors Germany GmbH, Mr. Haerle practiced for more than seven years ata large international law firm, where he advised national andinternational clients on all aspects of real property law with a focuson the law of sale/acquisition of real property, project developmentsand the law of commercial tenancy. Mr. Haerle studied law at theuniversities of Constance and Montpellier and is admitted as companylawyer and lawyer to the bar of Frankfurt am Main, Germany.
According to his statement, Mr. Haerle is not entered in the register ofinsolvent debtors maintained in compliance with the Act on the NationalCourt Register dated 20 August 1997, does not perform any activitiesoutside of the Company's business which could be considered competitivewith respect thereto, does not participate in any competitive businesseither as a partner in a civil partnership or any other type ofpartnership, and is not a member of the authorities of any competitivecompany or any other competitive entity.
